The Alumni Association Board will be conducting its annual spring meeting on campus on Friday, May 17 from 1:30-3:30 p.m. ETThe meeting will be held in the Oechsle Center for Global Education, Room 101 and a Zoom link will also be available for those who wish to attend virtually. The agenda will include brief presentations on enrollment, bicentennial planning, Gateway Career Center’s Externship program, and funding allocations for that as well as brief reports from several affinity group leaders.  

All are welcome to join. Please contact Aimee Torrisi at [email protected] with your attendance plans by May 15 so that she can provide the link.

In addition, and before the meeting, AAB will co-sponsor a Senior to Alumni Luncheon on March Field from 11:30 a.m.-1 p.m. to welcome our graduating seniors into our alumni community. This is our second annual Senior to alumni event and a perfect opportunity to interact with the soon-to-be newest alumni group.

Francine “Fran” Della Badia is a Board Advisor and C-Suite Executive driving business transformation, profitability and growth for public and private retail companies. Fran is currently the President of AM Retail Group, a subsidiary of the $3B G-III Apparel Group. The brand portfolio under her division includes DKNY, Donna Karan, and Karl Lagerfeld Paris.

A former member of the Benefit Committee of the New York Academy of Art and an Ambassador of the Human Trafficking Committee for Human Rights First, she was also a Mentor & Volunteer for the Grace Institute and Step Up Women’s Network. She currently supports Human Rights First, Project Morry, Delivering Good and the Influencers, all nonprofits focused on improving lives. She founded a summer program providing real world fashion business exposure to students aged 13-18 from 15+ countries and successfully sold the company to private equity.

Ms. Della Badia holds a BA in International Affairs and French from 纸飞机外国软件叫什么 College and has taken leadership and finance programs for executives at Harvard Business School and at the Center for Creative Leadership. Ms. Della Badia has participated in several campus events and recently hosted a dinner in New York City with various alumnae and President Nicole Hurd as well as a luncheon in Naples, FL. As an undergraduate, she rowed crew for two years and was a member of the Kappa Kappa Gamma Sorority. Ms. Della Badia was awarded the Gilbert Prize in English.

She lives in Briarcliff, NY with her partner, Todd Kahn, and her son, Alexander. Alexander is attending Bucknell University in the fall. She also has two step daughters, Zoe and Allegra, who live on the west coast.

Dear Fellow Alumni:

The Alumni Association Board will be approving some amendments to our Constitution and By Laws at its May 18th meeting on campus. This message serves as notification that the proposed amendments to the Constitution and By-Laws of our Alumni Association will be voted on at that time.  The proposed document was posted on the alumni website on April 2, 2023 under Alumni Association/Alumni Association Board/Announcements. You may also view the current Bylaws which are also posted under Alumni Association.

The proposed amendments are due to the following primary changes:  Name change from Alumni Council to Alumni Association Board, updated reference to include electronic communication and updated references to pronouns (from he/she to he/she/they.)

The on-campus meeting will be held on May 18, 2023 from 2-4 p.m. ET.  Zoom access is available through the following link: https://lafayette.zoom.us/j/99701432960.  Please email [email protected] to indicate attendance and a calendar invite will be sent.

Our Annual Meeting will be held during reunion weekend (June 2-4), and we will be electing the new VP of the Alumni Association. The bio of the VP candidate will also be posted on the alumni site under Alumni Association Board/Announcements on April 18th. The meeting is held during the Friday night Welcome Dinner on the Quad. CONSTITUTION AND BY-LAWS OF THE LAFAYETTE COLLEGE ALUMNI ASSOCIATION

Article I.    NAME AND OBJECTIVE

Section 1. The Association shall be named 纸飞机外国软件叫什么 College Alumni Association.

Section 2. Its objective shall be to promote the welfare of 纸飞机外国软件叫什么 College by:
(a) encouraging the alumnus/alumna, as an individual, to assume a full measure of responsibility for the progress of the College;
(b) providing the leadership and the means for the alumni to unite in their efforts to support and strengthen the College;
(c) working closely with the Board of Trustees and the Administration of the College to achieve unity of purpose and activity;
(d) disseminating information that will keep the alumni well-informed about the College and the Association;
(e) establishing efficient class and chapter organizations which carry out the objectives of the Association and which are responsible to it;
(f) assisting in raising funds for the improvement of the College;
(g) encouraging qualified, desirable students to apply for admission to the College;

(h) promoting and supporting opportunities for students through the Gateway Career Center;
(i) making recommendations through its officers to the Board of Trustees concerning matters essential to the College’s welfare;
(j) maintaining and disseminating the traditions and heritage of the College from a historical perspective and fostering additions to those traditions and heritage as compatible with the current 纸飞机外国软件叫什么 experience; and
(k) taking such other action as may be proper for the advancement of the College and the Association.

Article II.   MEMBERSHIP

Section 1. CLASSES OF MEMBERS. There shall be two general classes of membership.

(a) ACTIVE MEMBERS. Every person who shall have matriculated and attended at least one semester as an undergraduate at 纸飞机外国软件叫什么 and is no longer enrolled shall be an active member of the Association.

(b) HONORARY MEMBERS. Honorary members may be elected by the Alumni Association Board from recipients of honorary degrees given by 纸飞机外国软件叫什么 College, from non-alumni trustees of the College, from retired non-alumni faculty or staff members or from others deemed appropriate for honorary membership. As of July 1, 2020, parents may also serve as members of the association as their voice/s and efforts provide critical support to the alumni and student community. Honorary members may attend functions of the Association, but may not vote or hold office therein.

(c) Membership nominations shall come from current and/or former AAB and Advisory Council members, Development and College Relations staff, Senior Leadership at the College and/or members of the Board of Trustees. 

Article III.  MEETINGS

Section 1. ANNUAL MEETING. The annual meeting of the Association shall be held at the College at such time and place as the President of the Alumni Association Board shall designate.

Section 2. SPECIAL MEETINGS. Special meetings may be called by the President, or a majority of the Alumni Association Board.

Section 3. NOTICE

(a) ANNUAL MEETING Notice of the Annual Meeting shall be given by publication in a publication of the College, by posting on the College web site or by mailing of general distribution to alumni, by paper or electronic form, at least twenty-one days before the date thereof. If the business of such meeting will include the election of a President or Vice President of the Association, such notice shall comply with the provisions of Article V hereof.

(b) SPECIAL MEETINGS Notice of Special Meetings shall be given by posting on the College web site or by mailing of general distribution, by paper or electronic means, to alumni at least five days before the date thereof. The notice shall include the business to be put before such meeting.

Section 4. QUORUM. Those present shall constitute a quorum at any annual or special meeting.

Section 5. VOTE. Only those present in person at such a meeting may vote.

Article IV.   ALUMNI ASSOCIATION BOARD

Section 1. MEMBERSHIP.  The Alumni Council shall be renamed Alumni Association Board.  It shall be composed of the elected and appointed officers of the Association and such number of Members-At-Large as the Alumni Association Board shall determine from time to time, provided, however, that the Alumni Association Board shall consist of no less than 12 nor more than 25 members.

Section 2 ELECTION. Members-At-Large of the Alumni Association Board shall be elected by the Alumni Association Board.

Section 3. TERM.

(a) Members-At-Large shall be elected a term of three years or until their successors are elected. Members-At-Large may be elected to a maximum of two successive terms.

(b) Officers shall continue to serve on the Alumni Association Board for their term of office. Elected Officers shall also serve for one term at the conclusion of their term as an Elected Officer and may be elected as Members-At-Large upon the completion of terms served by virtue of their position as Officers.

 

Section 4. FUNCTIONS The Alumni Association Board shall:

  1. Govern the affairs of the Association;
  2. Submit candidates to the Board of Trustees of the College for election as Alumni Trustees, acting as “Alumni Council Executive Committee” as that term is used in the Statutes of the College;
  3. Undertake such activities as they may determine appropriate to further the objectives of the Alumni Association;
  4. Elect members to the Alumni Association Board;
  5. Expend funds from its approved budget in connection with its activities and areas of focus.

Section 5. MEETINGS.  Alumni Association Board shall meet at the call of the President or by the written request to the President of twenty-five percent of the Members-At-Large. In the event that a meeting is called by request of the Members-At-Large, it shall be convened not more than ten days after such notice.

Section 6. NOTICE. Notice of any regular or special meeting shall be given by the Secretary in writing, including electronic mail, at least five days before such meeting.

Section 7. QUORUM. Eight members shall be a quorum.

Section 8 VACANCIES. In the event of a vacancy in the position of a Member-At-Large, the remaining members of the Alumni Association Board shall elect an Active Member of the Association to fill such vacancy.

Article V.   OFFICERS

Section 1. ELECTED OFFICERS.

(a) The Elected Officers of the Association shall be President and Vice President, who shall serve for a term until their successor is elected. The Elected Officers of the Association shall consist of a President who shall serve for a term of two years or until their successor is elected. and a Vice President, who shall serve for a term of one or two years before serving as President. 

(b) The Alumni Association Board shall nominate for election at the Annual Meeting one or more candidates for Vice President and shall include such name or names in the notice of the Annual Meeting. Not less than fifteen days before such meeting, upon a petition signed by at least 100 Active Members of the Association and delivered to the Secretary of the Association, additional persons may be nominated for such position and their names shall be placed before the Annual Meeting for consideration. No nomination for such position may be made from the floor or in any other fashion, except as set forth herein.

(c) The Elected Officers shall be elected by a majority vote at an annual or special meeting of the Association.

(d)  Nominations for VP candidates shall come from the Alumni Association Board, Advisory Council Members, Development and College Relations Staff, Senior Leadership at the College and/or members of the Board of Trustees.

Section 2. APPOINTED OFFICERS.

(a) The AVP of Alumni Engagement and Annual Giving or designee shall be the Secretary of the Alumni Association Board;
(b) The Treasurer of the College or designee shall be the Treasurer of the Alumni Association Board;
(c) The appointed officers will not have the privilege of voting on the Alumni Association Board

Section 3. DUTIES OF THE PRESIDENT. The President shall preside at all meetings of the Association and Alumni Association Board; shall direct the business of the Association and, subject to the approval of the  Alumni Association Board, shall appoint all committees he/she/they deems appropriate to the fulfillment of responsibilities of the Association; shall, at the invitation of the Chairman of the Board of Trustees, attend meetings of the Board; and shall have such other powers and duties usually vested in the President of such an Association. When needed and he/she/they is unable to attend an on-campus event or function, the President may appoint a designee to attend on his/her/their behalf.  (Examples:  Legacy ceremony, Convocation, Homecoming and/or other events as assigned.)  He/she/they shall submit reports and perform such other duties as the Alumni Association Board may direct.

Section 4. DUTIES OF THE VICE PRESIDENT. The Vice President, and/or designee by the President, shall carry out the duties of the President in his/her/their absence; shall attend meetings of the Board of Trustees at the invitation of the Chair of the Board of Trustees, and have such other powers and duties as may be determined by the President or the Alumni Association Board from time to time.

Section 5. DUTIES OF THE SECRETARY. The Secretary shall be charged with the executive direction of the Alumni Association. He/she/they shall give notice of all meetings, keep minutes, conduct the correspondence of the Association, and have charge of its records and papers. He/she/they shall also act as secretary of the Alumni Association Board and shall be an ex-officio member of all Association Committees without power of vote.

Section 6. DUTIES OF THE TREASURER. The Treasurer shall receive all monies payable to the Association and shall disburse the moneys of the Association for expenses on the order of the Secretary. Disbursements other than for ordinary Association operating expenses shall be made by the Treasurer upon the order of the Secretary when approved by the President. He/she/they shall keep his/her/their accounts subject to such regulations as the Alumni Association Board shall promulgate from time to time. The Treasurer shall have the care and custody of all securities owned by the Alumni Association. Any changes in the securities owned by the Association shall be made by the Treasurer with the advice and consent of the professional investment counsel retained by the Financial Policy Committee of the Board of Trustees of 纸飞机外国软件叫什么 College. After such consent the Treasurer is authorized to endorse, deposit, transfer, or negotiate all checks, registered bonds, notes, certificates of stock, and all other securities and evidences of indebtedness owned by the Association. He/she/they shall give an accounting of the changes annually to the Alumni Association Board.

Section 7. VACANCIES.

(a) President. If a vacancy arises in the office of President, the President-Elect shall become President for the balance of the unexpired term and shall serve his/her/their two-year term thereafter.
(b) Vice President. If a vacancy arises in the office of the Vice President, including a vacancy created by virtue of the Vice President assuming the unexpired term of the President, the Alumni Association Board shall elect a Vice President to serve the balance of any unexpired term. However, such person shall not assume the position of President unless elected thereto at an annual or special meeting of the Association.

Article VI.   COMMITTEES

The Alumni Association Board shall have such Committees as it may determine, from time to time, are appropriate for the performance of its duties. The President shall appoint and/or recommend members of those committees, with the advice of the Alumni Association Board.

Article VII.   CLASS OFFICERS

Each class will be represented by a Class Committee which will carry out the objectives of the Association. The Class Committee will be comprised of class members who have demonstrated a willingness to participate in and volunteer their time on behalf of Class activities including but not limited to Reunion. The Alumni Association Board shall determine the exact method for recruiting Class Committees and these methods may vary by Class. All Class Officers in office as of the date of the enactment of this Article amendment are welcome to join the Class Committee. Any dispute regarding the Class Committee members or the right of any person to fill any Class position shall be resolved by the Alumni Association Board at a regular or special meeting of the Alumni Association Board.

Article VIII.   AMENDMENTS

This Constitution and By-laws may be amended in whole or in part at any regular or special meeting of the Association by a vote of two-thirds of the members present, provided that notice of such proposed amendment (i) shall have been given at a previous regular meeting or (ii) shall be given to the members of the Association by written and/or electronic notice at least 15 days before the meeting at which such proposed amendment is to be considered.
